epicSPOTLIGHT LLC. Effective April 20, 2026

These Terms and Conditions ("Terms") govern your access to and use of all epicSPOTLIGHT services, platforms, and products operated by epicSPOTLIGHT LLC, a Florida limited liability company ("epicSPOTLIGHT," "we," "us," or "our"). By creating an account, purchasing a subscription, or using any epicSPOTLIGHT service, you ("Customer," "you," or "your") agree to these Terms in full. If you do not agree, do not use the Service.

These Terms should be read together with our Privacy Policy, which describes how we collect, use, and protect your information.

1. Definitions

• "Service" means the epicSPOTLIGHT platform and all related services, including AI Visibility monitoring, content production and distribution, AI Voice Widgets, AI Voice Calling, dashboards, reports, and any future features.
• "AI Visibility Services" means monitoring, scoring, content production (epicCAST), content distribution (epicPRESS), reporting, and optimization across AI engines.
• "AI Voice Services" means AI-powered voice agents provided through website widgets (get.epicspotlight.com) and/or voice calling (go.epicspotlight.com), including call handling, lead qualification, appointment booking, and follow-up.
• "End User" means any individual who interacts with AI Voice Services on your behalf (callers, website visitors, SMS recipients).
• "Platform" means epicspotlight.com, app.epicspotlight.com, get.epicspotlight.com, go.epicspotlight.com, and any subdomains or successor URLs.

2. Eligibility

You must be at least 18 years of age and have the legal authority to bind the entity you represent. By using the Service, you represent that you meet these requirements and that the information you provide is accurate and complete.

3. Account Registration and Security

• You must provide accurate, current, and complete information during registration.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity under your account, whether or not authorized by you.
• You must notify us immediately at support@epicspotlight.com if you suspect unauthorized access.
• We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

4. Description of Services

4.1 AI Visibility Services

epicSPOTLIGHT monitors how AI engines (ChatGPT, Google Gemini, Perplexity, Claude, Microsoft Copilot, Meta AI) reference your business. We produce content in multiple formats and distribute it across high-authority platforms to improve your organic reach, search authority, and AI citation frequency. Specific deliverables vary by subscription tier.

4.2 AI Voice Widget Services

AI Voice Widgets are embeddable voice agents placed on your website via a code snippet. Widgets engage website visitors in real-time conversation, qualify leads, answer questions, book appointments, and capture contact information. Widgets operate 24/7 and support multiple languages.

4.3 AI Voice Calling Services

AI Voice Calling provides inbound and/or outbound AI-powered voice agents that handle phone calls on your behalf. Agents qualify leads, book appointments, conduct follow-ups, and route calls based on your configured workflows.

4.4 Service Availability

We target 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance. We are not liable for service interruptions caused by third-party providers, internet outages, or force majeure events.

5. Subscription Plans and Billing

5.1 Plans

The Service is offered on a subscription basis. Plans vary by feature set, campaign volume, and service tier. Current pricing is available at epicspotlight.com/pricing. All plans are billed monthly unless you select annual billing.

5.2 Payment

Payments are processed through Stripe. By subscribing, you authorize us to charge the payment method on file at the beginning of each billing cycle. You are responsible for keeping payment information current. Failed payments may result in service suspension after a 7-day grace period.

5.3 Usage-Based Charges

AI Voice Services may include usage-based charges for voice minutes, SMS messages, and telephony costs beyond amounts included in your plan. Usage rates are published in your account dashboard and may be updated with 30 days notice.

5.4 Price Changes

We may adjust pricing with 30 days written notice. Price increases do not apply to founding member rates, which are locked for the life of the subscription.

5.5 Taxes

Prices do not include applicable sales tax, use tax, VAT, or similar taxes. You are responsible for all applicable taxes in your jurisdiction.

6. Cancellation and Refunds

6.1 Cancellation

You may cancel your subscription at any time through your account dashboard or by emailing support@epicspotlight.com. No contracts, no cancellation fees, no phone call required. Cancellation takes effect at the end of your current billing period. Active campaigns and voice services will continue through the end of your billing period.

6.2 Refunds

Subscription fees are non-refundable except as required by law or as provided under our guarantee (Section 7). Usage-based charges for voice minutes and SMS already consumed are non-refundable.

6.3 Data After Cancellation

Upon cancellation, you may export your data for 30 days. After 30 days, your data will be deleted in accordance with our Privacy Policy.

7. Service Guarantees

7.1 30-Day Visibility Guarantee

For AI Visibility Services: we guarantee publication across 100+ verified platforms within 30 days of your first campaign, or you receive a full refund plus one free month of service. This guarantee applies to new subscribers who complete onboarding within 7 days of signup.

7.2 No Outcome Guarantees

We do not guarantee specific search rankings, AI citation frequency, lead volume, conversion rates, or revenue outcomes. AI engine behavior is determined by third parties and is outside our control. Results vary by industry, competition, and market conditions.

8. Telecommunications Compliance (A2P, TCPA, and Related Regulations)

8.1 Your Obligations

You are responsible for complying with all applicable telecommunications laws and regulations in connection with your use of AI Voice Services and any SMS capabilities, including but not limited to:

• Telephone Consumer Protection Act (TCPA): You must obtain prior express written consent from individuals before initiating automated calls, prerecorded messages, or text messages to their phone numbers. You must maintain records of consent.
• A2P 10DLC Registration: If you send Application-to-Person SMS messages through the Service, you must complete A2P 10DLC brand and campaign registration as required by wireless carriers and The Campaign Registry (TCR). We will assist with registration but you are responsible for accuracy of submitted information and ongoing compliance.
• CAN-SPAM Act: Any email communications triggered through the platform must comply with CAN-SPAM requirements, including accurate headers, opt-out mechanisms, and sender identification.
• State Regulations: You must comply with state-specific telecommunications laws, including two-party consent recording laws (e.g., California, Florida, Illinois) where applicable.
• Do Not Call (DNC) Registry: If using AI Voice Calling for outbound calls, you must scrub call lists against the National Do Not Call Registry and any applicable state DNC lists.
• FCC Regulations: You must comply with all applicable FCC rules regarding automated calls, caller ID requirements, and robocall restrictions.

8.2 Consent Requirements for SMS

Before sending SMS messages through the Service, you must:

1. Obtain prior express written consent from each recipient, clearly disclosing: (a) the identity of the sender, (b) that messages may be sent using automated technology, (c) that consent is not a condition of purchase, and (d) estimated message frequency.
2. Provide clear opt-out instructions in every message (reply STOP to unsubscribe).
3. Honor opt-out requests immediately.
4. Maintain records of consent for a minimum of 5 years.
5. Never share, sell, or rent mobile phone numbers or opt-in data to third parties.

8.3 Consent Requirements for AI Voice

Before deploying AI Voice Services, you must:

1. Configure an appropriate disclosure that the caller or visitor is interacting with an AI agent, as required by applicable law.
2. In two-party consent states (California, Connecticut, Florida, Illinois, Maryland, Massachusetts, Michigan, Montana, Nevada, New Hampshire, Oregon, Pennsylvania, Washington), configure a call recording disclosure and obtain affirmative consent before recording.
3. Maintain call records and recordings in compliance with your jurisdiction's retention requirements.

8.4 Prohibited Uses

You may not use AI Voice or SMS Services to:

• Send unsolicited commercial messages (spam) without prior express written consent.
• Transmit content that is illegal, threatening, harassing, defamatory, or obscene.
• Impersonate another person, business, or government entity.
• Engage in phishing, fraud, or deceptive practices.
• Contact individuals who have opted out or who are on Do Not Call registries.
• Send messages to numbers obtained through purchased, rented, or scraped lists.
• Violate any carrier acceptable use policy or messaging guidelines.

8.5 Indemnification for Telecommunications Violations

You agree to indemnify, defend, and hold harmless epicSPOTLIGHT LLC, its officers, directors, employees, and agents from any claims, damages, fines, penalties, or costs (including reasonable attorneys' fees) arising from your violation of telecommunications laws, including TCPA, A2P/10DLC requirements, FCC regulations, or state-specific laws. This indemnification obligation survives termination of these Terms.

9. HIPAA and Protected Health Information (PHI)

9.1 Not a HIPAA-Covered Entity

epicSPOTLIGHT is not a HIPAA-covered entity and is not a Business Associate under the Health Insurance Portability and Accountability Act of 1996 (HIPAA). The Service is not designed, intended, or authorized for the collection, storage, processing, or transmission of Protected Health Information (PHI) as defined by HIPAA and its implementing regulations (45 CFR Parts 160, 162, and 164).

9.2 No Business Associate Agreement (BAA)

epicSPOTLIGHT does not offer Business Associate Agreements (BAAs) at this time. If your use of the Service would require a BAA under HIPAA, you may not use the Service for that purpose.

9.3 Obligations of Healthcare Customers

If you are a HIPAA-covered entity (healthcare provider, health plan, healthcare clearinghouse) or otherwise handle PHI, and you use epicSPOTLIGHT AI Voice Widget or AI Voice Calling services, you must:

• Configure your voice agents to explicitly instruct callers and website visitors not to share PHI, medical records, diagnoses, treatment details, prescription information, insurance details, or any other protected health information through chat, voice, or SMS interactions.
• Include a clear disclosure in your agent's opening script that the conversation is not a secure channel for medical information.
• Route any interactions requiring PHI collection to a HIPAA-compliant channel outside the epicSPOTLIGHT platform.
• Acknowledge that epicSPOTLIGHT bears no responsibility for HIPAA compliance obligations if PHI is transmitted through the Service.
• Indemnify epicSPOTLIGHT for any claims, penalties, or damages arising from HIPAA violations related to your use of the Service.

9.4 End User Sensitive Data

End users interacting with AI Voice Widgets or AI Voice Calling services should not share sensitive personal information, including but not limited to Social Security numbers, credit card numbers, medical information, financial account credentials, or other protected data through these interfaces.

10. AI Voice Service Terms

9.1 Voice Agent Configuration

You are responsible for the configuration, accuracy, and appropriateness of your AI voice agents, including greeting scripts, qualification criteria, booking rules, and escalation procedures. We provide tools and templates but do not control the specific content of your agent's responses.

9.2 Call Recording and Data

AI voice interactions may be recorded. Recordings are stored securely and retained for 90 days by default. You may adjust retention periods in your account settings. You are responsible for complying with recording consent laws in your jurisdiction.

9.3 Voice Minutes

Voice services consume minutes based on actual call duration. Unused minutes do not roll over between billing periods unless your plan specifies otherwise. Overage rates apply when included minutes are exceeded.

11. Content Ownership and Intellectual Property

10.1 Your Content

You retain ownership of all business information, materials, and data you provide to epicSPOTLIGHT. You grant us a non-exclusive, worldwide license to use your content solely for the purpose of providing the Service.

10.2 Content Created by epicSPOTLIGHT

Content created by epicSPOTLIGHT on your behalf (campaigns, articles, media, scripts) is owned by you upon creation and licensed to us for the purpose of distribution through our platform and partner networks. This license terminates upon cancellation, except for content already distributed to third-party platforms.

10.3 Our Intellectual Property

The epicSPOTLIGHT name, logo, platform, algorithms, proprietary methods, AI models, and software are the intellectual property of epicSPOTLIGHT LLC. Nothing in these Terms grants you any rights to our intellectual property beyond the right to use the Service as a subscriber.

10.4 Aggregate Data

We may use anonymized, aggregated data derived from your use of the Service for research, benchmarking, and service improvement. This data will never identify you or your business.

12. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
• Submit false, misleading, or deceptive business information.
• Attempt to manipulate AI engines through deceptive, spammy, or black-hat practices.
• Use the Service to distribute malware, phishing content, or harmful code.
• Interfere with, disrupt, or place an unreasonable load on the Service or its infrastructure.
• Reverse engineer, decompile, or attempt to extract the source code of the Service.
• Resell, sublicense, or redistribute the Service without prior written authorization.
• Use the Service in a manner that violates any third party's rights, including intellectual property, privacy, or publicity rights.
• Use AI Voice Services for emergency calls or as a substitute for emergency services (911).

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
• We do not warrant that the Service will be uninterrupted, error-free, or secure.
• We are not responsible for the actions, responses, or behavior of third-party AI engines, telecommunications carriers, or distribution platforms.
• Our total aggregate liability for any claims arising from or related to the Service shall not exceed the total amount you paid to us in the 12 months preceding the claim.
• In no event shall we be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, lost profits, loss of business, or loss of data.

14. Indemnification

You agree to indemnify, defend, and hold harmless epicSPOTLIGHT LLC, its officers, directors, employees, agents, and affiliates from any third-party claims, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) content you provide or distribute through the Service; or (e) your End Users' interactions with AI Voice Services you deploy.

15. Termination

14.1 By You

You may terminate your account at any time as described in Section 6.

14.2 By Us

We may suspend or terminate your account immediately, without notice, if: (a) you violate these Terms; (b) your use of the Service poses a security risk; (c) you fail to pay fees when due; (d) you engage in activity that could expose TECNOTO to legal liability; or (e) we are required to do so by law or regulatory action.

14.3 Effect of Termination

Upon termination, your right to access the Service ceases immediately. Sections 8.5, 9, 11, 13, 14, 16, and 17 survive termination.

16. Dispute Resolution

15.1 Informal Resolution

Before initiating any formal proceeding, you agree to contact us at legal@epicspotlight.com and attempt to resolve the dispute informally for at least 30 days.

15.2 Binding Arbitration

Any dispute that cannot be resolved informally shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall take place in Palm Beach County, Florida. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

15.3 Class Action Waiver

You agree to resolve disputes with us on an individual basis only. You waive the right to participate in any class action, collective action, or representative proceeding.

15.4 Small Claims Exception

Either party may bring an individual action in small claims court if the claim qualifies.

17. General Provisions

16.1 Governing Law

These Terms are governed by the laws of the State of Florida without regard to conflict of law provisions.

16.2 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and epicSPOTLIGHT LLC regarding the Service and supersede all prior agreements.

16.3 Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.

16.4 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

16.5 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

16.6 Force Majeure

We are not liable for delays or failures in performance resulting from events beyond our reasonable control, including natural disasters, war, terrorism, pandemics, labor disputes, government actions, utility failures, or internet outages.

16.7 Notices

We may provide notices to you via email at the address associated with your account. You may provide notices to us at legal@epicspotlight.com.

16.8 Modifications

We may modify these Terms at any time. Material changes will be communicated via email at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the modified Terms.
